Backstage Technologies Inc. ("Backstage," "we," "us," or "our") provides our online platform, marketplace, and related content to you through our website(s) located at joinbackstage.com (the "Site") (such services and Site, including any updated or new features, functionality and technology, the "Backstage Platform"). All access and use of the Backstage Platform is subject to the terms and conditions contained in these Terms of Backstage Platform (as amended from time to time, these "Terms"). By accessing, browsing, or otherwise using the Site, purchasing a Ticket (as defined below), or using any other aspect of the Backstage Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms.
We reserve the right, at our sole discretion, to change or modify portions of these Terms at any time. If we do this, we will post the changes on this page and will indicate at the top of this page the date these Terms were last revised. You may read a current copy of these Terms by visiting the "Terms" link on the Site. We will also notify you of any material changes, either through the Backstage Platform user interface, a pop-up notice, email, or through other reasonable means. Your continued use of the Backstage Platform after the date any such changes become effective constitutes your acceptance of the new Terms. You should periodically visit this page to review the current Terms so you are aware of any revisions. If you do not agree to abide by these or any future Terms, you acknowledge and agree that you are not allowed to, and will not, access, browse, or use (or continue to access, browse, or use) the Backstage Platform.
PLEASE READ THESE TERMS OF SERVICE CAREFULLY, AS THEY CONTAIN AN AGREEMENT TO ARBITRATE AND OTHER IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS. THE AGREEMENT TO ARBITRATE REQUIRES (WITH LIMITED EXCEPTION) THAT YOU SUBMIT CLAIMS YOU HAVE AGAINST US TO BINDING AND FINAL ARBITRATION, AND FURTHER (1) YOU WILL ONLY BE PERMITTED TO PURSUE CLAIMS AGAINST BACKSTAGE ON AN INDIVIDUAL BASIS, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION OR PROCEEDING, (2) YOU WILL ONLY BE PERMITTED TO SEEK RELIEF (INCLUDING MONETARY, INJUNCTIVE, AND DECLARATORY RELIEF) ON AN INDIVIDUAL BASIS, AND (3) YOU MAY NOT BE ABLE TO HAVE ANY CLAIMS YOU HAVE AGAINST US RESOLVED BY A JURY OR IN A COURT OF LAW.
At Backstage, we respect the privacy of our users. For more information, please see our Privacy Policy (the "Privacy Policy"). By using the Backstage Platform, you consent to our collection, use and disclosure of personal data and other data as outlined therein.
Backstage offers an online marketplace (the "Backstage Marketplace") that allows Users (as defined below) to buy (each, a "Buyer") and list for sale, or sell (each, a "Seller" and together with Buyers, each a "User" or "you") tickets and other related items to events (each or together (as the context may require), a "Ticket"). Accordingly, the Backstage Marketplace acts as a marketplace to connect Buyers and Sellers, and for transactions listed or taking place via the Backstage Marketplace.
The Backstage Platform aggregates tickets from third-party vendors (each a "3P Vendor"), allowing Users to view available tickets on the Backstage Platform. When purchasing tickets, users are directed to third-party websites and complete the transaction through these third parties. Backstage does not sell, control, or facilitate these transactions, and all purchases are subject to the third-party vendor's terms including any additional fees and conditions, conditions of sale, and any other terms shown during the purchase process ("3P Terms"). Backstage is not responsible for the content or enforcement of these 3P Terms. These terms may cover topics such as ticket usage, cancellations, rebooking or refunds, payment, delays, and liability, along with additional rules. It is the User's responsibility to familiarize themselves with and comply with these conditions. 3P Vendors may charge additional fees that are not included in the Ticket's listed price on our site unless explicitly stated otherwise. Buyers are required to arrange and pay any such fees directly to the 3P Vendor. When a User clicks on links to various merchants on Backstage and makes a purchase, this can result in Backstage earning a commission.
If you are a Seller, additional Seller Terms, located at Seller Terms (the "Seller Terms") govern your use of the Backstage Platform. Seller Terms are supplemental to, and incorporated by reference, into these Terms. If there are any inconsistencies between the Seller Terms and these Terms, the Seller Terms will govern with respect to the offer and sale of Tickets through the Backstage Platform.
Sellers can monetize Tickets on the Backstage Platform in two distinct ways:
Backstage may provide predicted prices for Tickets that Sellers wish to monetize or Buyers wish to buy Tickets through the Backstage Platform ("Predicted Price"). This Predicted Price is provided solely for Users' reference, is intended for informational purposes only, and does not constitute financial advice or a guarantee of any outcome. Users acknowledge that the Predicted Price is not a guarantee of the actual market value or future sale price of the Tickets. Users agree that any reliance on the Predicted Price is at their own risk, and Backstage disclaims all liability for any losses, damages, or decisions made based on the Predicted Price.
Tickets may be available for purchase through a Backstage Listing (defined below) or Seller Listing. Buyers are fully responsible for completing their Ticket purchases, including paying any applicable fees. Backstage's fees applicable to Buyer are listed here [INSERT HYPERLINK]. By confirming a purchase through a Backstage Listing or Seller Listing, you enter into a binding agreement with us or Seller (as applicable) to buy the selected Ticket. All sales are final, and no refunds will be issued unless the event is canceled. Once a purchase is complete, orders cannot be changed or canceled. Buyers agree to supply the Seller and Backstage with the appropriate information necessary for delivery of Tickets, including email address and physical address (if applicable). If a Buyer provides incorrect information for the delivery of Tickets, or a Buyer is unavailable to receive the Tickets when they are delivered, Buyer will not be eligible for any refund or credits. You may not conceal your identity using multiple IPs or emails, to purchase Tickets and are prohibited from using any form of automated bots or for purchasing Tickets. Backstage may display the original ticket price of a Ticket, subject to availability of information and without independent verification of its accuracy. Ticket prices may exceed the face value of the Ticket.
As the provider of the Backstage Marketplace, Backstage does not own, create, sell, resell, provide, manage, offer, or supply any tickets, except for certain tickets that we ourselves own, sell, resell, provide, manage, offer, supply, or list to the Backstage Marketplace (such listings a "Backstage Listing" and tickets the "Backstage Tickets"). If Backstage fails to make an on-time delivery of any purchased Backstage Tickets for an event on the Backstage Marketplace, then Buyer's exclusive remedy will be limited to compensating the Buyer for any payments made to Backstage under these Terms for such Backstage Tickets. An "on-time delivery" for purposes of this paragraph means delivery prior to the actual start time of the performance, regardless of the performance start time previously posted by any party.
For Tickets that are not Backstage Tickets, Seller, and not Backstage, sets the prices for the Tickets. When you buy a Ticket through a Seller Listing or sell a Ticket through a Seller Listing, you are entering into a contract directly with the respective Seller or Buyer. You should always exercise due diligence and care when deciding whether to purchase, sell, or share a Ticket purchased through a Seller Listing. Backstage is not and does not become a party to or other participant in any contractual relationship between Users for such Tickets. Backstage is not acting as an agent in any capacity for any Users, nor is Backstage responsible for the actions or omissions of any Users, or your interactions with other users through the Backstage Platform. Backstage will have no liability or responsibility with respect to Tickets that are not Backstage Tickets. Backstage's fees applicable to Sellers are listed here [INSERT HYPERLINK].
Backstage does not guarantee (a) that every Ticket purchased on Backstage will be eligible for resale on Backstage, or (b) that as a Buyer, you will receive a Ticket from a Seller in time to enable a User to resell the Ticket on the Backstage Platform. In addition, each User acknowledges that when reselling Tickets previously purchased through the Backstage Marketplace, a User may not be able to list a Ticket for resale at its desired price (for example, Backstage may impose a Ticket price cap for fraud purposes).
No compensation will be provided to Buyer for any reason except as expressly described in these Terms. Buyers are not permitted to return tickets or cancel an order, except as expressly provided under these Terms. A Buyer may, however, sell a Ticket purchased on the Backstage Marketplace to another Buyer on the Backstage Marketplace or, subject to certain restrictions and applicable law, may sell the Tickets by alternative means. Backstage reserves the right to cancel and refund Buyer's order at any time for any reason.
If an event is canceled and not rescheduled (a "Canceled Event"), Backstage will remove the event and any listing related to the event from the Backstage Marketplace, and provide Buyers who have purchased any Tickets for such Canceled Event with notice of the cancellation and further instructions. Buyer will receive a refund or, subject to applicable state laws, a credit (to be determined in Backstage's sole and exclusive discretion) once the Buyer has returned the Ticket(s) in the manner and within the timeline given by Backstage. Please note that certain states require the refund of a Ticket if an event is canceled, and Backstage's refund policy is intended at all times to comply with all applicable state laws. If you did not receive a refund for a canceled event but believe that you are entitled to a refund under applicable state law, please contact Backstage at [EMAIL].
Backstage will work with Buyers, on an individual basis, to attempt to resolve any issues if an event is postponed. Refunds or credits will not be issued for postponed events, unless they are later canceled.
Backstage is not responsible for any other event changes, including (but not limited to) partial performances, venue, line-up, or time changes. No refunds or credits will be issued under such circumstances.
You may be required to register with Backstage or provide information about yourself (e.g., name and email address) in order to access and use certain features of the Backstage Platform. If you choose to register for the Backstage Platform, you agree to provide and maintain true, accurate, current, and complete information about yourself as prompted by the Backstage Platform's registration form. Registration data and certain other information about you are governed by our Privacy Policy. If you are under 13 years of age, you are not authorized to use the Backstage Platform, with or without registering. In addition, if you are under 18 years old, you may use the Backstage Platform, with or without registering, only with the express consent of your parent or guardian, and you agree to provide true, accurate, current, and complete information as requested by Backstage to confirm such express consent.
You may not use the Backstage Platform if you are located in, or a citizen or resident of any state, country, territory or other jurisdiction that is embargoed by the United States or where your use of the Backstage Platform would be illegal or otherwise violate any applicable law. You represent and warrant that you are not a citizen or resident of any such jurisdiction and that you will not use any Backstage Platform while located in any such jurisdiction. You also may not use the Backstage Platform if you are located in, or a citizen or resident of, any other jurisdiction where we have determined, at our discretion, to prohibit use of the Backstage Platform. We may implement controls to restrict access to the Backstage Platform from any such jurisdiction. You will comply with this paragraph even if our methods to prevent use of the Backstage Platform are not effective or can be bypassed.
You are responsible for maintaining the confidentiality of your password and account details, if any, and are fully responsible for any and all activities that occur under your password or account. You agree to (a) immediately notify Backstage of any unauthorized use of your password or account or any other breach of security, and (b) ensure that you exit from your account at the end of each session when accessing the Backstage Platform. Backstage and its current and future affiliates (collectively, "Backstage Affiliates") will not be liable for any loss or damage arising from your failure to comply with this paragraph.
Backstage reserves the right to modify or discontinue, temporarily or permanently, the Backstage Platform (or any part thereof) with or without notice. You agree that Backstage and Backstage Affiliates will not be liable to you or to any third party for any modification, suspension or discontinuance of the Backstage Platform.
You acknowledge that Backstage may establish general practices and limits concerning use of the Backstage Platform, including the maximum period of time that data or other content will be retained by the Backstage Platform and the maximum storage space that will be allotted on Backstage's or its third-party service providers' servers on your behalf. You agree that Backstage has no responsibility or liability for the deletion or failure to store any data or other content maintained or uploaded by the Backstage Platform. You acknowledge that Backstage reserves the right to terminate accounts that are inactive for an extended period of time. You further acknowledge that Backstage reserves the right to change these general practices and limits at any time, in its sole discretion, with or without notice.
In addition to tickets aggregated from 3P Vendors, the Backstage Platform may contain, be provided with, or provide access to services, sites, technology, and resources that are provided or otherwise made available by third parties, (including the third-party sites Buyers may be directed to purchase tickets) (the "3P Services"). Your access and use of any 3P Services may also be subject to additional terms and conditions, privacy policies, or other agreements with such third party, and you may be required to authenticate to or create separate accounts to use 3P Services on the websites or via the technology platforms of their respective providers.
Some 3P Services will provide us with access to certain information that you have provided to third parties, including through such 3P Services, and we will use, store and disclose such information in accordance with our Privacy Policy. For more information about the implications of activating 3P Services and our use, storage and disclosure of information related to you and your use of such 3P Services within the Backstage Platform, please see our Privacy Policy.
Under no circumstances will Backstage or any Backstage Affiliate be liable in any way for any content or materials of any third parties (including users) ("3P Materials"), including for any errors or omissions in any content, or for any loss or damage of any kind incurred as a result of the use of any such content. You acknowledge that Backstage does not pre-screen content, but that Backstage and its designees will have the right (but not the obligation) in their sole discretion to refuse or remove any content that is available via the Backstage Platform. Without limiting the foregoing, Backstage and its designees will have the right to remove any content that violates these Terms or is deemed by Backstage, in its sole discretion, to be otherwise objectionable. You agree that you must evaluate, and bear all risks associated with, the use of any content, including any reliance on the accuracy, completeness, or usefulness of such content.
To the extent that you utilize any other 3P Services, 3P Vendors, or 3P Materials in connection with your use of the Backstage Platform, you agree to comply with all applicable terms of any agreement for such third-party products and services.
We are under no obligation to provide support for the Backstage Platform. Instances where we may offer support, the support will be subject to published policies. Support is conducted through support@joinbackstage.com.
You are solely responsible for all content including images, text, or other materials that you make available to Backstage, including by uploading, posting, publishing, or displaying (hereinafter, "upload(ing)") via the Backstage Platform or by emailing or otherwise making available to other users of the Backstage Platform (collectively, "User Content"). Backstage reserves the right to investigate and take appropriate legal action against anyone who, in Backstage's sole discretion, violates this provision, including removing the offending content from the Backstage Platform, suspending, or terminating the account of such violators, and reporting the violator to law enforcement authorities.
You agree to not to:
If you are blocked by Backstage from accessing the Backstage Platform (including by blocking your IP address), you agree not to implement any measures to circumvent such blocking (e.g., by masking your IP address or using a proxy IP address or virtual private network).
To the extent that Tickets are available for purchase directly through the Backstage Marketplace or the Backstage Platform, or any portion thereof is made available for any fee, you may be required to select a payment plan and provide information regarding your credit card or other payment instrument. You represent and warrant to Backstage that such information is true and that you are authorized to use the payment instrument. You will promptly update your account information with Backstage [or the Payment Processor (as defined below)], as applicable, of any changes (for example, a change in your billing address or credit card expiration date) that may occur. You agree to pay the amount that is specified in the payment plan in accordance with the terms of such plan and these Terms. If you dispute any charges, you must let Backstage know within 60 days after the date that Backstage charges you, or within such longer period of time as may be required under applicable law.
Notwithstanding any amounts owed to Backstage hereunder, BACKSTAGE DOES NOT PROCESS PAYMENT FOR ANY BACKSTAGE PLATFORMS. To facilitate payment for the Backstage Platform via bank account, credit card, or debit card, we use Stripe, Inc. and its affiliates ("Stripe"). These payment processing services are provided by Stripe and are subject to the Stripe terms and conditions and other policies available at https://stripe.com/legal and Stripe's Global Privacy Policy available at: https://stripe.com/privacy (collectively, the "Stripe Agreements"). By agreeing to these Terms, users that use the payment functions of the Backstage Platform also agree to be bound by the Stripe Agreements, as the same may be modified by Stripe. You hereby authorize Stripe to store and continue billing your specified payment method even after such payment method has expired, to avoid interruptions in payment for your use of the Backstage Platform. Please contact Stripe for more information. Backstage assumes no liability or responsibility for any payments you make through the Backstage Platform.
Payments made by you are final and non-refundable, unless otherwise determined by Backstage. Cancellations and changes to any Tickets that you purchase through our Backstage Platform are subject to these Terms.
3P Vendors may charge additional fees that are not included in the Ticket's listed price on our site unless explicitly stated otherwise. Buyers are required to arrange and pay any such fees directly to the 3P Vendor. Many 3P Vendors reserve the right to make changes and cancel confirmed Tickets, and supplemental terms and conditions may also apply. We are not responsible for such changes or cancellations, and we do not have any control over them. Please contact the 3P Vendor if you have any questions or would like to cancel or make changes to your Ticket.
All right, title, and interest in and to the Backstage Platform, Deidentified Data, and Analytic Data (defined below) including all intellectual property rights are owned by us or our licensors and are protected under both United States and foreign laws. Except as explicitly stated in these Terms, all rights in and to our Backstage Platform are reserved by us or our licensors. Subject to your compliance with these Terms, you are hereby granted a limited, nonexclusive, nontransferable, non-sublicensable, revocable license to access and use our Backstage Platform for your own personal, noncommercial use. Any use of our Backstage Platform other than as specifically authorized in these Terms, without our prior written permission, is strictly prohibited, will terminate this license and violate our intellectual property rights.
The Backstage name and logos are trademarks and service marks of Backstage (collectively the "Backstage Trademarks"). Other company, product, and service names and logos used and displayed via the Backstage Platform may be trademarks or service marks of their respective owners who may or may not endorse or be affiliated with or connected to Backstage. Nothing in these Terms or the Backstage Platform should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any of Backstage Trademarks displayed on the Backstage Platform, without our prior written permission in each instance. All goodwill generated from the use of Backstage Trademarks will inure to our exclusive benefit.
You represent and warrant that you own all right, title and interest in and to the User Content, including all copyrights and rights of publicity contained therein. You grant us and our subsidiaries and Backstage Affiliates a perpetual, irrevocable, nonexclusive, royalty-free, worldwide, fully paid, and sublicensable license to process, reproduce, distribute, and otherwise use and display the User Content and perform all acts with respect to the User Content as may be necessary or useful for us to provide the Backstage Platform, to maintain, provide, and develop the Backstage Platform and otherwise develop and improve our (and/or Backstage Affiliates') technologies and offerings, to promote, advertise or market the foregoing, to generate or develop deidentified data from the User Content and any derivatives that do not directly or indirectly identify you or any individual (the "Deidentified Data"), and as otherwise set forth in our Privacy Policy.
In addition, you acknowledge and agree that we may monitor, collect, use, and store anonymous and aggregate statistics regarding your use of the Backstage Platform (collectively, "Analytic Data"). In order for us to provide our Backstage Platform, you agree that we may process, transfer and store information about you in the United States and other countries, where you may not have the same rights and protections as you do under local law. You also agree that you irrevocably waive any claims and assertions of moral rights or attribution with respect to your User Content. You assume all risk associated with your User Content and the transmission of your User Content, and you have sole responsibility for the accuracy, quality, legality and appropriateness of your User Content.
Any questions, comments, suggestions, ideas, feedback, reviews, or other information about the Backstage Platform ("Submissions"), provided by you to Backstage or any Backstage Affiliate are non-confidential and Backstage and Backstage Affiliates will be entitled to the unrestricted use and dissemination of these Submissions for any purpose, commercial or otherwise, without acknowledgment, attribution, or compensation to you.
You acknowledge and agree that Backstage may preserve User Content and may also disclose User Content if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to: (a) comply with legal process, applicable laws, or government requests; (b) enforce these Terms; (c) respond to claims that any content violates the rights of third parties; or (d) protect the rights, property, or personal safety of Backstage, its users, or the public. You understand that the technical processing and transmission of the Backstage Platform, including your User Content, may involve (i) transmissions over various networks; and (ii) changes to conform and adapt to technical requirements of connecting networks or devices.
To the fullest extent permitted under applicable law, you agree to defend, indemnify, and hold harmless Backstage and Backstage Affiliates, and its and their respective officers, employees, directors, service providers, licensors, and agents (collectively, the "Backstage Parties"), from any and all losses, damages, expenses, including reasonable attorneys' fees, rights, claims, actions of any kind, and injury (including death) arising out of or relating to your use of the Backstage Platform, any User Content, any Submissions, your connection to the Backstage Platform, your violation of these Terms, or your violation of any rights of another. Backstage will provide notice to you of any such claim, suit, or proceeding. Backstage reserves the right to assume the exclusive defense and control of any matter which is subject to indemnification under this section, and you agree to cooperate with any reasonable requests assisting Backstage's defense of such matter. You may not settle or compromise any claim against the Backstage Parties without Backstage's written consent.
YOUR USE OF THE BACKSTAGE PLATFORM IS AT YOUR SOLE RISK. THE BACKSTAGE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. THE BACKSTAGE PARTIES EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
THE BACKSTAGE PARTIES MAKE NO WARRANTY (A) THAT THE BACKSTAGE PLATFORM WILL MEET YOUR REQUIREMENTS; (B) THAT THE BACKSTAGE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THAT THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE BACKSTAGE PLATFORM WILL BE ACCURATE OR RELIABLE; (D) THAT THE QUALITY OF ANY PRODUCTS, BACKSTAGE PLATFORMS, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE BACKSTAGE PLATFORM WILL MEET YOUR EXPECTATIONS; (E) REGARDING THE ACCURACY OF ANY PRICING, LISTING AND OTHER GUIDANCE ON THE SITE; (F) REGARDING THE EXISTENCE, QUALITY, SAFETY OR LEGALITY OF THE TICKETS, THE TRUTH OR ACCURACY OF LISTINGS, THE ABILITY OF SELLERS TO SELL TICKETS, OR THAT SELLER WILL COMPLETE A TRANSACTION; OR (E) WITH RESPECT TO BACKSTAGE PLATFORMS, SITE, ANY TICKETS, ANY EVENT, ANY USER CONTENT, OR THAT SELLERS WILL PERFORM AS PROMISED.
YOU EXPRESSLY UNDERSTAND AND AGREE THAT THE BACKSTAGE PARTIES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY DAMAGES, OR DAMAGES FOR LOSS OF PROFITS INCLUDING DAMAGES FOR LOSS OF GOODWILL, USE, OR DATA OR OTHER INTANGIBLE LOSSES (EVEN IF THE BACKSTAGE PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, RESULTING FROM: (A) THE USE OR THE INABILITY TO USE THE BACKSTAGE PLATFORM; (B) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND BACKSTAGE PLATFORMS RESULTING FROM ANY GOODS, DATA, INFORMATION, OR BACKSTAGE PLATFORMS PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE BACKSTAGE PLATFORM; (C) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (D) ANY USER CONTENT OR CONTENT OF THIRD PARTIES; (E) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE BACKSTAGE PLATFORM; OR (F) ANY OTHER MATTER RELATING TO THE BACKSTAGE PLATFORM. IN NO EVENT WILL THE BACKSTAGE PARTIES' TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID BACKSTAGE IN THE LAST SIX (6) MONTHS, OR, IF GREATER, ONE HUNDRED DOLLARS ($100).

IF YOU ARE A USER FROM NEW JERSEY, THE FOREGOING SECTIONS TITLED "INDEMNIFICATION", "DISCLAIMER OF WARRANTIES" AND "LIMITATION OF LIABILITY" ARE INTENDED TO BE ONLY AS BROAD AS IS PERMITTED UNDER THE LAWS OF THE STATE OF NEW JERSEY. IF ANY PORTION OF THESE SECTIONS IS HELD TO BE INVALID UNDER THE LAWS OF THE STATE OF NEW JERSEY, THE INVALIDITY OF SUCH PORTION WILL NOT AFFECT THE VALIDITY OF THE REMAINING PORTIONS OF THE APPLICABLE SECTIONS.
PLEASE READ THIS SECTION CAREFULLY AS IT AFFECTS YOUR RIGHTS.
This Dispute Resolution by Binding Arbitration section is referred to in these Terms as the "Arbitration Agreement." You agree that any and all disputes or claims that have arisen or may arise between you and Backstage, whether arising out of or relating to these Terms (including any alleged breach thereof), the Backstage Platform, any advertising, or any aspect of the relationship or transactions between us, will be resolved exclusively through final and binding arbitration, rather than a court, in accordance with the terms of this Arbitration Agreement, except that you may assert individual claims in small claims court, if your claims qualify. Further, this Arbitration Agreement does not preclude you from bringing issues to the attention of federal, state, or local agencies, and such agencies can, if the law allows, seek relief against us on your behalf. You agree that, by entering into these Terms, you and Backstage are each waiving the right to a trial by jury or to participate in a class action. Your rights will be determined by a neutral arbitrator, not a judge or jury. The Federal Arbitration Act governs the interpretation and enforcement of this Arbitration Agreement.
You have the right to opt out of binding arbitration within 30 days of the date you first accepted the terms of this Arbitration Agreement by sending an email to support@joinbackstage.com. In order to be effective, the opt-out notice must include your full name and address and clearly indicate your intent to opt out of binding arbitration. By opting out of binding arbitration, you are agreeing to resolve disputes in accordance with terms provided under the "General" section below.
YOU AND BACKSTAGE AGREE THAT EACH OF US MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION OR PROCEEDING. UNLESS BOTH YOU AND BACKSTAGE AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN MORE THAN ONE PERSON'S OR PARTY'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CONSOLIDATED, REPRESENTATIVE, OR CLASS PROCEEDING. ALSO, THE ARBITRATOR MAY AWARD RELIEF (INCLUDING MONETARY, INJUNCTIVE, AND DECLARATORY RELIEF) ONLY IN FAVOR OF THE INDIVIDUAL PARTY SEEKING RELIEF AND ONLY TO THE EXTENT NECESSARY TO PROVIDE RELIEF NECESSITATED BY THAT PARTY'S INDIVIDUAL CLAIM(S), EXCEPT THAT YOU MAY PURSUE A CLAIM FOR AND THE ARBITRATOR MAY AWARD PUBLIC INJUNCTIVE RELIEF UNDER APPLICABLE LAW TO THE EXTENT REQUIRED FOR THE ENFORCEABILITY OF THIS PROVISION.
Backstage is always interested in resolving disputes amicably and efficiently, and most customer concerns can be resolved quickly and to the customer's satisfaction by emailing customer support at support@joinbackstage.com. If such efforts prove unsuccessful, a party who intends to seek arbitration must first send to the other, by certified mail, a written Notice of Dispute ("Notice"). The Notice to Backstage should be sent to support@joinbackstage.com ("Notice Address"). The Notice must (i) describe the nature and basis of the claim or dispute and (ii) set forth the specific relief sought. If Backstage and you do not resolve the claim within sixty (60) calendar days after the Notice is received, you or Backstage may commence an arbitration proceeding. During the arbitration, the amount of any settlement offer made by Backstage or you will not be disclosed to the arbitrator until after the arbitrator determines the amount, if any, to which you or Backstage is entitled.
Arbitration will be conducted by a neutral arbitrator in accordance with the American Arbitration Association's ("AAA") rules and procedures, including the AAA's Consumer Arbitration Rules (collectively, the "AAA Rules"), as modified by this Arbitration Agreement. For information on the AAA, please visit its website, https://www.adr.org. Information about the AAA Rules and fees for consumer disputes can be found at the AAA's consumer arbitration page, https://www.adr.org/consumer.
If there is any inconsistency between any term of the AAA Rules and any term of this Arbitration Agreement, the applicable terms of this Arbitration Agreement will control unless the arbitrator determines that the application of the inconsistent Arbitration Agreement terms would not result in a fundamentally fair arbitration. The arbitrator must also follow the provisions of these Terms as a court would. All issues are for the arbitrator to decide, including issues relating to the scope, enforceability, and arbitrability of this Arbitration Agreement. Although arbitration proceedings are usually simpler and more streamlined than trials and other judicial proceedings, the arbitrator can award the same damages and relief on an individual basis that a court can award to an individual under these Terms and applicable law. Decisions by the arbitrator are enforceable in court and may be overturned by a court only for very limited reasons.
Unless Backstage and you agree otherwise, any arbitration hearings will take place in a reasonably convenient location for both parties with due consideration of their ability to travel and other pertinent circumstances. If the parties are unable to agree on a location, the determination will be made by AAA. If your claim is for $10,000 or less, Backstage agrees that you may choose whether the arbitration will be conducted solely on the basis of documents submitted to the arbitrator, through a telephonic hearing, or by an in-person hearing as established by the AAA Rules. If your claim exceeds $10,000, the right to a hearing will be determined by the AAA Rules. Regardless of the manner in which the arbitration is conducted, the arbitrator will issue a reasoned written decision sufficient to explain the essential findings and conclusions on which the award is based.
Payment of all filing, administration, and arbitrator fees (collectively, the "Arbitration Fees") will be governed by the AAA Rules, unless otherwise provided in this Arbitration Agreement. To the extent any Arbitration Fees are not specifically allocated to either Backstage or you under the AAA Rules, Backstage and you will split them equally; provided that if you are able to demonstrate to the arbitrator that you are economically unable to pay your portion of such Arbitration Fees or if the arbitrator otherwise determines for any reason that you should not be required to pay your portion of any Arbitration Fees, Backstage will pay your portion of such fees. In addition, if you demonstrate to the arbitrator that the costs of arbitration will be prohibitive as compared to the costs of litigation, Backstage will pay as much of the Arbitration Fees as the arbitrator deems necessary to prevent the arbitration from being cost-prohibitive. Any payment of attorneys' fees will be governed by the AAA Rules.
All aspects of the arbitration proceeding, and any ruling, decision, or award by the arbitrator, will be strictly confidential for the benefit of all parties.
If a court or the arbitrator decides that any term or provision of this Arbitration Agreement (other than the subsection (b) above titled "Prohibition of Class and Representative Actions and Non-Individualized Relief" above) is invalid or unenforceable, the parties agree to replace such term or provision with a term or provision that is valid and enforceable and that comes closest to expressing the intention of the invalid or unenforceable term or provision, and this Arbitration Agreement will be enforceable as so modified. If a court or the arbitrator decides that any of the provisions of subsection (b) above titled "Prohibition of Class and Representative Actions and Non-Individualized Relief" are invalid or unenforceable, then the entirety of this Arbitration Agreement will be null and void, unless such provisions are deemed to be invalid or unenforceable solely with respect to claims for public injunctive relief. The remainder of these Terms will continue to apply.
Notwithstanding any provision in these Terms to the contrary, Backstage agrees that if it makes any future change to this Arbitration Agreement (other than a change to the Notice Address) while you are a user of the Backstage Platform, we will provide you with reasonable notice of such change, and you may reject any such change by sending Backstage written notice within 30 calendar days of the change to the Notice Address provided above. By rejecting any future change, you are agreeing that you will arbitrate any dispute between us in accordance with the language of this Arbitration Agreement as of the date you first accepted these Terms (or accepted any subsequent changes to these Terms).
You agree that Backstage, in its sole discretion, may suspend or terminate your account (or any part thereof) or use of the Backstage Platform and remove and discard any content within the Backstage Platform, for any reason, including for lack of use or if Backstage believes that you have violated or acted inconsistently with the letter or spirit of these Terms. Any suspected fraudulent, abusive, or illegal activity that may be grounds for termination of your use of the Backstage Platform, may be referred to appropriate law enforcement authorities. Backstage may also in its sole discretion and at any time discontinue providing the Backstage Platform, or any part thereof, with or without notice. You agree that any termination of your access to the Backstage Platform under any provision of these Terms may be effected without prior notice, and acknowledge and agree that Backstage may immediately deactivate or delete your account and all related information and files in your account and/or bar any further access to such files or the Backstage Platform. Further, you agree that Backstage and Backstage Affiliates will not be liable to you or any third party for any termination of your access to the Backstage Platform.
You agree that you are solely responsible for your interactions with any other user in connection with the Backstage Platform, and Backstage and Backstage Affiliates will have no liability or responsibility with respect thereto. Backstage reserves the right, but has no obligation, to become involved in any way with disputes between you and any other user of the Backstage Platform.
From time to time, Backstage may offer promotional events, including giveaways or opportunities to receive complimentary tickets ("Promotions"). Please note that each Promotion, including its specific terms, eligibility requirements, and conditions, will be governed by separate terms and conditions provided at the time of the Promotion. Participation in any Promotion constitutes your acceptance of its specific terms. Backstage reserves the right to modify or discontinue any Promotion at its sole discretion.
These Terms (together with any other terms incorporated by reference herein) constitute the entire agreement between you and Backstage governing your access and use of the Backstage Platform, and supersede any prior agreements between you and Backstage with respect to the Backstage Platform. These Terms will be governed by the laws of the State of New York without regard to its conflict of law provisions. With respect to any disputes or claims not subject to arbitration, as set forth above, you and Backstage submit to the personal and exclusive jurisdiction of the state and federal courts located within New York, State of New York.
The failure of Backstage to exercise or enforce any right or provision of these Terms will not constitute a waiver of such right or provision. If any provision of these Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of these Terms remain in full force and effect. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Backstage Platform or these Terms must be filed within one (1) year after such claim or cause of action arose or be forever barred.
A printed version of these Terms and of any notice given in electronic form will be admissible in judicial or administrative proceedings based upon or relating to these Terms to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. You may not assign these Terms without the prior written consent of Backstage, but Backstage may assign or transfer these Terms, in whole or in part, without restriction.
The section titles in these Terms are for convenience only and have no legal or contractual effect. As used in these Terms, the words "include" and "including," and variations thereof, will not be deemed to be terms of limitation, but rather will be deemed to be followed by the words "without limitation." Notices to you may be made via either email or regular mail. The Backstage Platform may also provide notices to you of changes to these Terms or other matters by displaying notices or links to notices generally on the Backstage Platform.
Backstage will not be in default hereunder by reason of any failure or delay in the performance of its obligations where such failure or delay is due to civil disturbances, riot, epidemic, hostilities, war, terrorist attack, embargo, natural disaster, acts of God, flood, fire, sabotage, fluctuations or unavailability of electrical power, network access or equipment, or any other circumstances or causes beyond Backstage's reasonable control.
Backstage is headquartered in the United States. Whether inside or outside of the United States, you are solely responsible for ensuring compliance with the laws of your specific jurisdiction. Software available in connection with the Backstage Platform and the transmission of applicable data, if any, is subject to United States export controls.

Message frequency varies. Message and data rates apply. Text the single keyword command STOP to 844-908-3638 to cancel at any time. You'll receive a one-time opt-out confirmation text message. We may change any short code or telephone number we use to operate the Backstage Platform at any time and will notify you of these changes. You acknowledge that any messages, including any STOP or HELP requests, you send to a short code or telephone number we have changed may not be received and we will not be responsible for honoring requests made in such messages. The wireless carriers supported by the Backstage Platform are not liable for delayed or undelivered messages. You agree to provide us with a valid mobile number. You agree to maintain accurate, complete, and up-to-date information with us related to your receipt of messages.
Subject to, and without limiting your indemnification obligations under this Terms, you agree to indemnify, defend, and hold us harmless from any third-party claims, liability, damages, or costs arising from your use of Backstage's mobile messaging service or from you providing us with a phone number that is not your own. To the extent permitted by applicable law, you agree that we will not be liable for failed, delayed, or misdirected delivery of any information sent through the Backstage mobile messaging service, any errors in such information, and/or any action you may or may not take in reliance on the information or the Backstage mobile messaging service.
